ReserveCue is a proprietary software application owned exclusively by its creator. All rights reserved. Unauthorized copying, modification, distribution, or reverse engineering of this application is strictly prohibited and will result in legal action.

1. Intellectual Property Rights

Exclusive Ownership:

• ReserveCue and all associated materials are the exclusive property of the owner
• All source code, designs, algorithms, and features are proprietary and confidential
• The name "ReserveCue", logo, and branding are registered trademarks (pending)
• No user is granted any ownership rights to the software
• Users receive only a limited license to use the service as described herein

Strictly Prohibited Actions:

❌ Copying, cloning, or replicating any part of ReserveCue
❌ Reverse engineering, decompiling, or disassembling the software
❌ Creating derivative works based on ReserveCue
❌ Removing or modifying copyright notices or proprietary labels
❌ Sublicensing, selling, or redistributing the software
❌ Using the software to create competing products or services
❌ Extracting or scraping data from the platform for unauthorized use
❌ Attempting to claim ownership or rights to any part of the software

Legal Consequences: Violation of these terms will result in immediate termination of access, pursuit of financial damages, and criminal prosecution where applicable under copyright law, trade secret law, and the Computer Fraud and Abuse Act.

2. User License (Limited, Non-Transferable)

Subject to your compliance with these Terms, ReserveCue grants you a limited, non-exclusive, non-transferable, revocable license to access and use the service solely for your own business purposes.

This License DOES NOT Include:

• Any rights to the source code or underlying technology
• Permission to create similar or competing services
• Any intellectual property rights
• Right to sublicense or transfer access to others
• Right to modify, adapt, or create derivative works

This license terminates immediately if you breach any terms or upon cancellation of your subscription.

3. Acceptable Use Policy

You agree to use ReserveCue only for lawful purposes and in accordance with these Terms.

You may NOT:

• Use the service to violate any laws or regulations
• Attempt to gain unauthorized access to any systems or data
• Interfere with or disrupt the service or servers
• Upload malicious code, viruses, or harmful content
• Abuse, harass, or threaten other users
• Use automated tools to access or scrape the service
• Impersonate others or provide false information
• Use the service to send spam or unsolicited messages

4. Data Privacy & Security

Your use of ReserveCue is subject to our Privacy Policy. We implement industry-standard security measures to protect your data, including:

• Encrypted data transmission (SSL/TLS)
• Secure authentication and access controls
• Regular security audits and updates
• Data backup and disaster recovery procedures

However, you acknowledge that no system is 100% secure and agree to use strong passwords and protect your account credentials.

5. Payment Terms

Business subscription pricing depends on business type, country, and any approved waiver. Your applicable plan and billing terms are shown during onboarding and in your business account. Guest membership is a separate subscription with its own displayed price and trial terms.

6. Account Termination

By You: You may cancel your subscription at any time from the Business Manager. Access continues until the end of your billing period.

By Us: We reserve the right to suspend or terminate your account immediately for violations of these Terms, fraudulent activity, or non-payment.

Upon termination, your access ends immediately. We may retain your data for legal and backup purposes as outlined in our Privacy Policy.

7. Warranties & Disclaimers

ReserveCue IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND.

We do not guarantee uninterrupted service, error-free operation, or specific results. Use at your own risk. We are not liable for any damages resulting from use of the service.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ReserveCue AND ITS OWNER SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR USE.

Maximum Liability: Our total liability shall not exceed the amount you paid in the 12 months preceding the claim.

9. Indemnification

You agree to indemnify, defend, and hold harmless ReserveCue and its owner from any claims, damages, losses, or expenses (including legal fees) arising from:

• Your use or misuse of the service
• Your violation of these Terms
• Your violation of any laws or third-party rights
• Content you post or share through the service

10. Governing Law & Disputes

These Terms are governed by the laws of [Your State/Country], without regard to conflict of law principles.

Dispute Resolution: Any disputes shall be resolved through binding arbitration in [Your Jurisdiction], except we may seek injunctive relief in court for intellectual property violations.
